TSS provides "a comprehensive suite of services for the integration of complex Artificial Intelligence (AI) technologies, planning, design, deployment, maintenance and refresh of end-user and enterprise systems, including the mission-critical facilities in which they are housed" [10-K Item 1, p.4]4. The company has been listed since 2007, operates from a single integration facility in Georgetown, Texas (relocated from Round Rock in Q2 2025), and reports three segments:
Systems Integration (16% of FY2025 revenue; 25% of Q1 FY2026 revenue; the strategic segment). Custom integration and configuration of complete IT solutions, primarily AI-enabled server racks for Dell. Performed at TSS's centralized rack integration facility — TSS argues that doing rack work in a single ISO-certified site (vs. dispersed onsite work at customer data centers) is its core competitive advantage on quality, scale, and labor specialization [10-K Item 1, p.5]4. Includes warehousing of consigned equipment (Dell ships components to TSS on consignment, so component cost does not appear on TSS's income statement or balance sheet — TSS reports only the service fee).
Procurement (80% of FY2025 revenue; 72% of Q1 FY2026 revenue; the volatile, low-margin segment). TSS sources third-party hardware/software/services on behalf of customers. Revenue is recognized either gross (when TSS transforms or adds value to the product) or net (when TSS is a pure agent). FY2025 Procurement revenue was $197.5M, up 68% YoY4; Q1 FY2026 fell to $40.0M (–56% YoY) because Q1 2025 had a record-high gross-deal mix that did not repeat [10-K MD&A, p.18; Q1 FY2026 press release]5. FY2025 Procurement gross margin was 8% (vs. 7% in FY2024) — it is volume that flatters the top line but contributes thin dollars [10-K MD&A, p.18].
Facilities Management (3% of FY2025 revenue). Recurring maintenance and discrete projects on previously-deployed modular data centers (MDCs). TSS says it has historically integrated over 500 MDCs and currently maintains over 100 of them [10-K Item 1, p.6]4. Highest gross margin of the three segments (~60% in FY2025) but stagnant in absolute revenue ($7.9M FY2025, –1% YoY)4.
The clarifying read on TSS's business: the Systems Integration segment is the entire strategic story; Procurement is volatile flow-through that can move the headline revenue number ±100% YoY without meaningfully changing the equity story; Facilities Management is a legacy annuity that the market does not pay for.

The 13% blended gross margin in FY2025 was down from 15% in FY2024 because procurement grew faster than the higher-margin segments [10-K MD&A, p.18]4.
The Systems Integration gross margin compressed from 42% (FY2024) to 31% (FY2025) [10-K MD&A, p.18]. The decline reflects depreciation now allocated to COGS as the Georgetown facility ramps (FY2025 allocation: $2.7M; Q1 FY2026: $0.9M) plus higher direct labor as TSS staffed the new factory. Three things this table makes obvious:
Capex. $40M was invested in the Georgetown facility through FY2025 vs. an initial $20–25M plan, with the overage driven by customer-requested power and direct liquid cooling (DLC) capability beyond the initial scope [10-K MD&A, p.17]4. Additional ~$17M of capex is underway in FY2026 for next-generation AI rack support — on the Q1 FY2026 earnings call, CFO Chism said "our primary customer recently requested that we invest roughly another $17 million into CapEx to support the next generation of AI racks" [Source 10]6. Funding: ~$25M from two related bank term loans, $6.8M landlord tenant-improvement reimbursement, and the $55.3M August 2025 follow-on equity offering [10-K MD&A, p.18]4.
This is the section that determines whether TSS belongs on the AI-infra thesis or not. Three facts to anchor.
Fact 1 — TSS is a Dell-AI-rack pure play. The 10-K discloses one customer at 99% of FY2025 revenue (an unnamed "US-based IT OEM") [10-K Note 1 (Concentration of Credit Risk)]4. Third-party research (Caffital Research on Seeking Alpha, December 2024; Stock Narratives substack) identifies the customer as Dell [Sources 11, 12]23. The relationship is governed by a Master Relationship Agreement (MRA) and an October 2024 long-term AI rack integration agreement, amended in December 2025 (effective November 1, 2025) to extend the term by an additional two years beyond its original multi-year term, with automatic one-year renewals if neither party terminates at least 180 days prior, and to reprice for higher power demands and capex [10-K Item 1, pp.4–5; FY2025 press release, Source 5]4.
Fact 2 — The AI rack integration business has structural unit economics that look like a 3PL or contract manufacturer, not a value-add reseller. TSS does not own the components — Dell ships GPUs, networking, cooling, chassis on consignment; TSS provides the labor, the factory, the quality system, and the burn-in. The economics: weekly volume commitments plus certain fixed fees designed to cover TSS's fixed and variable costs (rent, debt service on Georgetown, direct labor, indirect labor) [10-K MD&A, p.17]4. What this means: below a certain rack volume, TSS earns a floor that covers costs (downside protection); above that volume, the per-rack incremental margin is real but the absolute upside is bounded by the contract's pricing schedule. On the Q1 FY2026 earnings call, management said reducing validation test times could let TSS "push more volume through the business and get to maybe even 2x the volume with current load" without further capex — i.e., operating leverage exists, but the fixed-fee structure means the customer captures much of the dollar upside [Source 10]6.
Fact 3 — The pull from end demand is real, large, and Dell-mediated. TSS's "largest partner anticipates doubling its AI infrastructure business in 2026 compared to last year, and we expect to capture our fair share of this growth, doubling our rack integration volumes" [Source 5, FY2025 press release, March 11, 2026]7. This is a one-sentence summary of TSS's entire thesis: Dell's AI server business doubles in 2026, TSS's rack volumes double with it, TSS's SI revenue moves from $40M (FY2025) to ~$80M (FY2026). Dell's flagship AI-training server, the PowerEdge XE9680, is configurable with "8 NVIDIA HGX H100 80GB 700W SXM5 GPUs, fully interconnected with NVIDIA NVLink technology" and is marketed by Dell to "rapidly develop, train and deploy large machine learning models" [Source 16]9; Dell's PCIe-GPU rack server, the PowerEdge R760xa, is "engineered for a wide range of applications like AI-ML/DL training and inferencing" [Source 17]10. These are the platform families that flow through TSS's Georgetown rack-integration facility. The broader macro framing — multi-trillion-dollar 2024–2030 AI-DC capex — is well-trafficked; widely-cited ~$7T cumulative-through-2030 AI-infrastructure capex estimates are the headline reference, though this brief does not rely on them for any model math. The unanswered question is what share of Dell's AI-rack integration runs through TSS vs. Dell's own internal integration capacity vs. competing integrators.
Modular data centers (MDCs). TSS positions itself as a serious MDC integrator — "we have integrated over 500 MDCs and currently continue to maintain over 100" [10-K Item 1, p.6]4. This was the original AI-infra thesis hook (modular/edge build-out for AI inference). In practice, MDC revenue is buried inside Facilities Management ($7.9M in FY2025, flat) and Systems Integration. The MDC business is real but is not the growth driver — the Dell AI rack agreement is. Treat MDC capability as "competitive moat color" rather than as a separate revenue line.
DLC (direct liquid cooling). Georgetown's capex overage went specifically into DLC capability — the 10-K cites "increased power demands and capital expenditures beyond those contemplated in the original agreement" as the driver of the December 2025 contract repricing [10-K Item 1, p.4]4. Next-generation AI rack platforms (higher power density, liquid-cooled) drive ongoing capex, with the additional ~$17M for next-gen rack support requested by the customer on the Q1 FY2026 call [Source 10]6. TSS's investment positions it as one of the few US-based integration sites with the power density and cooling plant to handle high-density racks at volume. This is the most defensible piece of the moat narrative.
Direct comparables are scarce. AI rack integration as a discrete services line has very few public-company pure plays — most of it sits inside the OEMs (Dell's own integration centers in Austin and Penang; Supermicro's San Jose campus; HPE's Houston and Singapore sites) or inside contract manufacturers (Foxconn / Hon Hai, Wiwynn, Quanta, Inventec) that report integration as part of broader ODM/EMS revenue and do not break out US AI rack volumes.

Where TSS has a real edge. (i) Customer relationship — Darryll Dewan (CEO since November 14, 2022) is a former Dell VP with prior senior roles at IBM and others; the relationship is multi-generational and tightly woven into Dell's MRA structure [Source 15 (DEF 14A); Source 12]113. (ii) Single-site ISO-certified scale in the US — most CMs lead with Asia capacity. Where TSS is structurally vulnerable. (i) The 99% customer concentration is a single-point-of-failure on the equity. (ii) The contract pricing structure caps per-rack dollar upside because the customer captures volume surprises through fixed-fee economics. (iii) No demonstrated diversification — management has talked about expanding to other customers for two years; nothing public has landed. (iv) The Round Rock warehousing initiative — "we have now dedicated the entire Round Rock facility to warehousing AI rack material for our largest OEM customer. We began providing this service May 1 of this year" [Source 10]6 — signals more concentration, not less.

Stock performance. Down 32% LTM1. 52-week range $6.87 – $31.94 — i.e., trading at roughly the 22nd percentile of the last year's range. The peak ($31.94) implied a ~$900M market cap and ~45x EV/EBITDA on the FY2026 guide; the current $11 implies ~12x. The de-rating since late 2025 reflects (a) the Q3 FY2025 air-pocket and EBITDA-guide reset, (b) growing public realization of the 99% Dell dependency, and (c) general AI-infra small-cap multiple compression alongside the H100-to-Blackwell transition uncertainty.
Peer multiples for triangulation. Difficult — there is no clean public comparable that does what TSS does. Indicative reference points:
TSS's ~12x EV/EBITDA on FY2026 guidance sits in the middle of this peer set despite higher concentration risk and a smaller absolute scale. The implicit market view is that TSS is a fair-value Dell-dependent contractor, not a special situation.
